1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and EduFin EMS ("Company", "we", "us", or "our"), concerning your access to and use of the EduFin Education Management System platform and website.

By accessing the platform, you agree that you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, then you are expressly prohibited from using the platform and must discontinue use immediately.

2. Intellectual Property Rights

Unless otherwise indicated, the platform and software are our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the platform (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us.

No part of the platform and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

3. User Representations

By using the platform, you represent and warrant that:

• All registration and institutional information you submit will be true, accurate, current, and complete.
• You will maintain the accuracy of such information and promptly update it as necessary.
• You have the legal capacity and authority to agree to these Terms and Conditions on behalf of your institution.
• You will not use the platform for any illegal or unauthorized purpose.
• Your use of the platform will not violate any applicable law or regulation.

4. Subscriptions and Payments

EduFin EMS is a premium service provided under various subscription tiers. By purchasing a subscription, you agree to pay the fees associated with your chosen plan. All payments are non-refundable unless strictly required by applicable law. We reserve the right to change our pricing upon giving standard notice, but such changes will not affect active, pre-paid billing cycles.

5. Service Interruptions and Modifications

We cannot guarantee the platform will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance resulting in interruptions, delays, or errors.

We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the platform at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the platform during any downtime or discontinuance of the service.

6. Governing Law

These Terms and Conditions and your use of the platform are governed by and construed in accordance with the laws of the United Kingdom and Bangladesh, depending on the jurisdiction of your signed service-level agreement.
